Pentairand GE Water & Process Technologies Announce PreliminaryDiscussions Regarding Formation of Global Residential Water TreatmentJoint Venture MINNEAPOLIS--(BUSINESS WIRE)--May 28, 2008--Pentair, Inc. (NYSE NR) and GE Water & Process Technologies (NYSE: GE) announced todaythat they are engaged in discussions to establish a joint venture tocombine their respective global water softener and residential waterfiltration businesses. Under the current framework in discussion,Pentair would own approximately 80 percent of the joint ventureinterests, and GE Water & Process Technologies would own approximately20 percent. The combined businesses had 2007 net sales ofapproximately $450 million. It is not currently contemplated thatsignificant cash contributions would be required from either party toform the joint venture.
The parties to the discussion believe that this joint venturecreates significant sales growth opportunities and other operatingsynergies, and would accelerate the global development of innovativetechnologies to serve the residential water filtration and treatmentmarket.
In keeping with Pentair's established corporate policy, thecompany will not comment further upon the status of these discussionsuntil they are concluded.

Pentair, Inc. and GE Water & Process Technologies, a unit of the General Electric Company, have announced a joint venture to combine their respective global water softener and residential water filtration businesses. With GE’s and Pentair's industry-leading technologies and Pentair’s expansive distribution channels, the joint venture will provide reliable and affordable water treatment solutions to meet growing needs. “With the formation of this joint venture, Pentair and GE will be better positioned to serve residential customers with industry-leading technical applications in the areas of water conditioning, whole house filtration, point-of-use water management and water sustainability,” said Randall. J. Hogan, Pentair chairman and chief executive officer. “Further, this joint venture advances Pentair’s current residential filtration strategy for growth. We believe we will accelerate revenue growth by selling GE’s existing residential conditioning and treatment products through Pentair’s sales channels, by gaining access to some of GE’s current and emerging filtration technologies.” Under the terms of the agreement, Pentair has an 80% ownership stake and GE has a 20% stake of the joint venture—Pentair Residential Filtration.
